Terms of Service

Effective date: 15th of February, 2025

1. Acceptance of Terms

These Terms of Service (the "Agreement") govern the use of the RayDB service (the "Service") provided by Harbur Cloud Solutions S.L.U. ("RayDB"). By accessing or using the Service, you ("Customer") agree to be bound by this Agreement. If you do not agree with these terms, do not use the Service.

2. The Service

2.1. Service Description. RayDB provides a managed PostgreSQL database hosting service. Customers can deploy, manage, and scale PostgreSQL databases through the RayDB platform.

2.2. Subscription and Access. Access to the Service is granted through a subscription plan selected by the Customer. Each subscription is valid for a specified period (the "Subscription Term").

2.3 Ownership and Intellectual Property. RayDB retains all rights, title, and interest in the Service, including all associated intellectual property. Customers are granted a limited, non-exclusive, non-transferable right to use the Service during the Subscription Term.

3. Customer Responsibilities and Restrictions

3.1 Acceptable Use. Customers agree to use the Service in compliance with applicable laws and not to:

  • Engage in activities that violate any applicable law or regulation.
  • Use the Service for illegal, harmful, or malicious activities.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.

3.2 Account Security. Customers are responsible for maintaining the security of their accounts and credentials. Any unauthorized use of the Service must be reported to RayDB immediately.

4. Fees and Payment

4.1 Billing and Payment. Customers agree to pay the fees associated with their selected subscription plan. Payments are due as specified in the applicable order form.

4.2 Taxes. Fees do not include applicable taxes. Customers are responsible for any taxes related to their use of the Service.

4.3 Failure to Pay. Non-payment may result in suspension or termination of access to the Service.

5. Term and Termination

5.1 Term. This Agreement remains in effect for the duration of the Customer's Subscription Term.

5.2 Termination. Either party may terminate this Agreement:

  • By providing written notice if the other party materially breaches the Agreement and fails to cure within 30 days.
  • Immediately if required by law.

Upon termination, Customers must cease all use of the Service, and RayDB may delete any stored Customer data.

6. Data and Privacy

6.1 Customer Data. Customers retain ownership of their data. By using the Service, Customers grant RayDB a license to process and store their data as necessary to provide the Service.

6.2 Data Protection. RayDB employs industry-standard security measures to protect Customer data but does not guarantee against data breaches or losses.

7. Disclaimer and Limitation of Liability

7.1 No Warranties. The Service is provided "as is" without any warranties, express or implied. RayDB does not guarantee uninterrupted or error-free operation.

7.2 Limitation of Liability. RayDB is not liable for indirect, incidental, or consequential damages arising from the use of the Service. Liability is limited to the fees paid by the Customer in the preceding 12 months.

8. Confidentiality

8.1 Confidential Information. Each party agrees to keep confidential any proprietary information received from the other party.

9. Governing Law and Dispute Resolution

This Agreement is governed by the laws of Spain. Any disputes arising under this Agreement shall be resolved through arbitration or litigation in Spain.

10. Changes to Terms

RayDB may update these Terms of Service from time to time. Continued use of the Service after such updates constitutes acceptance of the revised terms.
